1. Program Description
The PingAlert1 Affiliate Program (hereinafter "the Program") allows approved partners (hereinafter "the Affiliate") to promote PingAlert1 services and receive commissions on generated sales.
2. Eligibility and Qualification
2.1 Becoming an Affiliate
To become an affiliate, the candidate must submit an application through the official form and be approved by PingAlert1. Approval is at PingAlert1's discretion.
2.2 Qualification Period
- New affiliates have a "Qualifying" status for 90 days
- To become "Active", the affiliate must generate 3 validated sales within 90 days
- If the goal is not met, the status becomes "Inactive" and accumulated commissions are cancelled
3. Commission Structure
3.1 Base Commission
The affiliate receives a 25% commission on the annual plan price sold:
- Solo Plan ($299 CAD / $249 USD): $74.75 CAD / $62.25 USD
- Team Plan ($499 CAD / $419 USD): $124.75 CAD / $104.75 USD
- Pro Plan ($799 CAD / $669 USD): $199.75 CAD / $167.25 USD
3.2 Monthly Performance Bonus
Additional bonuses are granted based on the number of validated sales in a calendar month:

3.3 Customer Discount Sharing
When a $50 discount is offered to the referred customer, this discount is shared equally:
- PingAlert1 absorbs $25 of the discount
- The affiliate absorbs $25 of the discount (deducted from commission)
4. Commission Validation and Payment
4.1 Customer Refund Period
Customers are entitled to a full refund within 14 days of their purchase. No commission is payable on a refunded sale.
4.2 Payable Commissions
Commissions become payable 15 days after the sale, once the refund period has expired.
4.3 Security Holdback
- A 20% holdback is applied to each commission until a $200 reserve is reached
- This reserve covers potential refunds or cancellations
- Once the $200 reserve is reached, commissions are paid at 100%
4.4 Minimum Payment
- The minimum balance to trigger a payment is $400
- If the balance is less than $400, it is accumulated until the next cycle
- Payments are made monthly, within 15 days after the end of the month
4.5 Clawback
If a customer obtains a refund after the commission has been paid to the affiliate:
- The commission amount is deducted from the security reserve
- If the reserve is insufficient, the amount is deducted from future commissions
- If the balance becomes negative, the affiliate must regularize their situation before any new payment
5. Currencies and International Payments
5.1 Applicable Currencies
- Canadian customers: prices in Canadian dollars (CAD), commission in CAD
- International customers: prices in US dollars (USD), commission in USD
5.2 Affiliate Payment
- Canadian affiliates: payment in CAD by Interac transfer or cheque
- International affiliates: payment in USD by PayPal or wire transfer
- CAD and USD balances are managed separately
6. Restrictions and Prohibitions
The following practices are strictly prohibited:
- Self-referral or registration of your own businesses
- Creation of fake or fictitious accounts
- False or misleading advertising about PingAlert1
- Use of the PingAlert1 brand without authorization
- Spam or unsolicited mass sending
- Purchasing advertising on "PingAlert1" keywords or similar
- Offering discounts higher than those authorized by PingAlert1
- Any form of fraud or manipulation of the Program
7. Affiliate Obligations
- Promote PingAlert1 ethically and professionally
- Provide accurate information to prospects
- Comply with all applicable laws, including anti-spam laws
- Report affiliate income to appropriate tax authorities
- Keep payment information up to date
8. Termination
8.1 By the Affiliate
The affiliate may terminate their participation in the Program at any time by contacting us. Validated commissions will be paid according to usual conditions.
8.2 By PingAlert1
PingAlert1 may terminate an affiliate account at any time, with or without cause. In case of termination for violation of conditions, all unpaid commissions are cancelled.
8.3 Inactivity
An affiliate account without activity (no sales) for 12 consecutive months may be deactivated. Balance under $100 will be cancelled after notification.
9. Limitation of Liability
- PingAlert1 is not responsible for technical errors affecting sales tracking
- PingAlert1 is not responsible for business decisions made by the affiliate
- Commissions have no value until they are paid
- PingAlert1 reserves the right to verify and correct any erroneous commission
10. Program Modifications
PingAlert1 reserves the right to modify commission rates, payment conditions, or any other Program condition with 30 days notice. Already validated commissions will not be affected by modifications.
11. Confidentiality
The affiliate agrees to keep confidential all information relating to customers, personalized commission rates, and PingAlert1's business strategies.
